Rova Web LLC – Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern all website hosting, maintenance, and WordPress development services (“Services”) provided by Rova Web LLC (“Rova Web,” “we,” “us,” or “our”). By paying an invoice, using our hosting, or requesting work from us, you (“Client”) agree to these Terms.

We aim to be clear, fair, and transparent while protecting both parties.


2. Definitions

  • Services – Website hosting, updates, maintenance, backups, security monitoring, development work, and related tasks.

  • Website – The Client’s WordPress website hosted and/or maintained by Rova Web.

  • Client Content – Any text, images, videos, graphics, files, or materials provided by the Client.

  • Hosting Provider – The third-party server provider we use, currently A2Hosting/Hosting.com.

  • TOS – This Terms of Service agreement.


3. Scope of Services

Rova Web provides the following services under its hosting and maintenance plans:

  • WordPress hosting

  • WordPress core, theme, and plugin updates (performed weekly or monthly depending on plan)

  • Website security monitoring

  • Daily or periodic backups stored off-server

  • SSL certificate installation and renewal

  • Performance tuning and general optimization

  • Up to one (1) hour of content edits per month

  • General support via email

Not included unless agreed in writing:

  • Custom development

  • Plugin creation or major theme modifications

  • Full redesigns

  • ADA compliance remediation

  • SEO content writing or strategy

  • Social media management

  • CRM/marketing automation setup


4. Client Responsibilities

To ensure proper operation and minimize issues, the Client agrees to:

4.1 Domain & DNS

Client is fully responsible for:

  • Domain purchase

  • Domain renewal

  • Nameserver changes

  • DNS configuration (A records, MX, SPF, DKIM, etc.)

If a domain expires or DNS misconfigurations occur, Rova Web is not responsible for resulting downtime.


4.2 Email Deliverability

Contact form emails are sent to the Client’s inbox.
Because email deliverability depends on many third-party systems (mail servers, spam filters, DNS), Rova Web cannot guarantee that emails will always arrive or avoid spam folders.

Client must regularly test their forms.


4.3 Content & Copyright

Client verifies that:

  • All content they provide is legally owned or licensed

  • They have rights to all photos, videos, and media

  • They are not sending copyrighted, illegal, or infringing content to Rova Web for use

Client agrees to indemnify Rova Web for any copyright claims arising from Client Content.


4.4 Security Practices

Client is responsible for:

  • Using secure, unique passwords

  • Protecting devices used to access accounts

  • Keeping their email account secure

Breaches caused by compromised Client credentials are not Rova Web’s liability.


5. Backups & Data

Rova Web maintains routine off-server backups of the Website.
However:

  • Backups may not always capture the most recent changes

  • Backups do not cover external third-party data (e.g., CRM entries, mailing lists)

  • Backups may not be available after a hosting account is terminated

Client acknowledges that they must maintain their own copies of any critical business data.

Rova Web is not liable for lost or incomplete backups.


6. Security & Malware

We implement active security monitoring and protective tools; however:

  • No system is completely immune to hacking

  • Vulnerabilities in third-party software, plugins, themes, or servers may occur

  • A breach may still be possible

6.1 Malware Response

If a Website is compromised, Rova Web will begin malware cleanup within 72 hours after being notified.

Cleanup is performed to the best of our ability but is not guaranteed to fully restore the Website.


7. Updates, Compatibility & Functionality

WordPress, plugins, and themes are developed by third parties. Updates may:

  • Break functionality

  • Remove features

  • Cause layout inconsistencies

  • Conflict with server settings

Rova Web is not liable for issues caused by third-party updates.
We will attempt to resolve conflicts within the limits of the maintenance plan.


8. Uptime & Hosting Provider Limitations

Rova Web cannot guarantee:

  • 100% uptime

  • Uninterrupted service

  • Speed or performance at all times

Hosting uptime is influenced by server hardware, networks, and third-party factors beyond our control.

Rova Web is not liable for downtime, outages, or loss resulting from hosting interruptions.


9. ADA / Accessibility Disclaimer

Unless explicitly contracted, Rova Web does not guarantee ADA, WCAG, or accessibility compliance.

Client must request accessibility work as a separate project.


10. Limitation of Liability

To the maximum extent permitted by law:

  • Rova Web is not liable for lost revenue, lost sales, lost data, or business losses (“consequential damages”).

  • Total liability for any claim is limited to the amount paid by the Client to Rova Web in the previous 3 months.

  • Rova Web is not liable for downtime, breaches, plugin errors, hosting failures, email deliverability issues, or actions of third-party services.


11. Intellectual Property

11.1 Client Content

Client retains ownership of all content they provide.

11.2 Rova Web Materials

Unless otherwise agreed:

  • Rova Web retains ownership of custom code, templates, and proprietary processes

  • Client receives a license to use these on their website only

Client may not resell or reuse our templates elsewhere.


12. Payments

12.1 Billing

Hosting and maintenance are billed monthly via FreshBooks.

12.2 Non-Payment

  • If an invoice is unpaid for 15 days, the Client may receive reminders and late notices.

  • If unpaid for 30 days, hosting may be suspended or the Website may be disabled.

  • A reactivation fee may apply.

12.3 Refunds

Hosting and maintenance fees are non-refundable.


13. Cancellation

Client may cancel hosting with 30 days written notice.
Upon cancellation:

  • Hosting will remain active through the end of the paid billing period

  • Client is responsible for migrating their Website to another provider

  • Rova Web is not obligated to perform migration unless separately contracted

  • Backups may be deleted immediately upon termination


14. Termination by Rova Web

We may terminate Services immediately if:

  • Client fails to pay

  • Client violates our Terms

  • Client engages in abusive, threatening, or inappropriate behavior

  • The website poses a security risk


15. Partner Authority Clause

Client acknowledges that either partner of Rova Web LLC may make commitments, communicate terms, and approve agreements on behalf of the company.


16. Dispute Resolution

Before taking legal action, both parties agree to attempt a good-faith resolution.

If unresolved, any claim may be brought only in:

Small Claims Court of Roanoke, Virginia

and under Virginia law.


17. Modifications to Agreement

Rova Web may update these Terms at any time.
Clients will be notified via email or invoice, and continued use of Services constitutes acceptance.
